Your use the of the Service is subject to these Terms. If you do not agree to and accept these Terms, please do not register for an Account, purchase, access, or use the SiteDistrict Services.
SiteDistrict (also referred to as "we", "us", or "our") provides hosting & firewall services and support through our propitary platform. Any individuals or organizations which use our Services will be referred to as "Client", "you", or "your". Any websites, applications, database, or other services created and managed by our Clients through our Service are referred to in this Agreement as "Client Applications". The third-party visitors of Client Applications are referred to in this Agreement as "End Users".
These Terms of Service ("Terms") form a legal binding agreement between SiteDistrict and you.
You respresent, warrant, and agree that you have the authority to enter into and perform under the Agreement and form a binding contract on behalf of yourself or on behalf of the person, organization, entity, or group that you represent.
We reserve the right to update these Terms at any time and at our sole discretion. If we make changes to these Terms, we will provide notice of such changes by revising the date at the top of these Terms. We may, at our discretion, communicate these updates to you directly or indirectly.
You assert that you will use the Service only in compliance with local, state, national, and international laws & regulations. You may only use the service if you can form a binding contract.
You must be at least 18 years of age to use the Service.
SiteDistrict reserves the right to change the eligibility requirements for user of the Service at any time.
When you use the Services or sign up for an Account, you are agreeing to several terms including: (a) You will provide accurate, truthful, current, and complete information; (b) You will promptly update your Account information upon any changes; (c) You will maintain the security of your Account by protecting your password and restricting access to your Account and Service plan; (d) You will inform SiteDistrict immediately if you discover or suspect any security breaches or unauthorized access related to your Account or the Services; (e) You will take responsibility for all activities that occur under your Account and accept all risks of any authorized or unauthorized access to your Account; and (f) You will not open multiple Accounts to bypass any restrictions or overage charges set forth by SiteDistrict.
Each account is to be used by a single person only; you may not share logins.
You may not use distributed, shared, or forwarding email addresses (examples may include but are not limited to: "admin@", "info@", "management@", etc). In the event that we suspect that such an email address is being used, we may contact you in order to change your contact email address.
If you are located in, under the control of, or a national or resident of any country to which the United States has embargoed goods or services, including Iran, Syria, Cuba, North Korea, Crimea, Donetsk People's Republic (DNR), or Luhansk People's Republic (LNR) regions of Ukraine, or if you are subject to economic or other sanctions by the United States, European Union, United Kingdom, United Nations, or any other applicable government or international body, then you cannot use the Services or register for an Account.
In case of a dispute regarding the designation of the Company Owner or the ownership of an Account, we retain the right to investigate and determine the ownership of the Account, including identifying the genuine Company Owner, based on our reasonable judgment.
The Service allows you to host WordPress websites, other static and dynamic website pages, send emails, upload images & files, and create other forms of digital content (collectively, "Content").
You retain ownership of the Content you create, but understand that other users that have been granted access to the same content may share, copy, modify, or remove this Content. SiteDistrict takes no responsibility for these actions. Consider carefully what content you decide to publish to the Service.
You agree to not post Content that:
You agree to grant SiteDistrict a non-exclusive, worldwide, irrevocable, perpetual, royalty-free, transferable, license to use, copy, reproduce, modify, display, transmit, store, edit, distribute, and publish your Content.
We reserve the right, but are not obligated, to remove or refuse to distribute Content. We reserve the right to provide Content as necessary to comply with legal requirements.
You agree that access to Content is not guaranteed, and that there may be periods where Content is not accessible.
You will not license, sell, rent, or otherwise use Content for commercial purposes or in any way that violates any third party rights.
We collect, use, and share personally identifiable information and non-personally identifiable information according to our Privacy Policy. By using this service you agree to the conditions of our Privacy Policy.
Use of the Service grants you no right to use the SiteDistrict name, logo, or branding in any way.
The Service is protected by copyright, trademark, and other laws of the United States and foreign countries. SiteDistrict and its licensors exclusively own all rights, title and interest in and to the Service, including all associated intellectual property rights.
By using SiteDistrict, you agree to allow us to use your name and/or logo in any SiteDistrict marketing materials. You can opt-out of this at any time by emailing us.
SiteDistrict is a WordPress hosting platform for personal and professional websites.
The Service may not be used to:
You agree that you will not scan, test, or probe the Service for security vulnerabilities. You agree that you will not interfere or disrupt the Service or servers or networks connected to the service.
We reserve the right to terminate or suspend your account at any time without further warning in the event that, at our sole discretion & judgement, you violate these Terms or abuse the Service.
We may, at our discretion, investigate any supsected violation of this Policy, and remove or disable access to any content or resource that violates this Policy. You agree to cooperate with us to remedy any violation. During the process of the investigation we may:
When determining whether there has been a violation of this Policy, we may consider your ability and willingness to comply with this Policy, including the policies and processes you have in place to prevent or identify and remove any prohibited content or activity. Because of this, it is in your best interest to respond to any inquiries by SiteDistrict in a timely manner.
Some or all of the Service may be provided free of charge. We reserve the right to charge fees in exchange for access to and usage of any parts or all of the Service, at any time, without further notice.
Changes in pricing & your choice of a service plan, or refusal to select a plan, may result in the loss of or denial of access to Content. SiteDistrict does not accept liability for such loss of or inability to access Content.
Our Data Processing Agreement is an addendum to these Terms, and is hereby incorporated into this agreement.
You agree to hold harmless, defend, and indemnify SiteDistrict and its owners, agents, officers, employees, and affliates from and against any and all claims and expenses, including attorneys’ fees, arising out of your use of the Service, including but not limited to your violation of this Agreement.
You understand that the service is provided "as-is" and SiteDistrict expressly disclaimes all warranties of any kind, implied or statutory, including but not limited to SiteDistrict makes no warranty that the Service will meet your requirements, be free of malfunction or errors, be available on an uninterrupted basis, be free of malicious content.
SiteDistrict is not not responsible for loss of data, or damage to your computer systems or devices as a result of use of the Service.
We do not endorse, guarantee, warrant, or assume responsibility for any third-party party product or service that is advertised or offered through the use of our Service
You acknowledge and agree that, to the maximum extent permitted by law, the entire risk arising out of your access to and use of the Service remains with you. Neither SiteDistrict nor any other party will be liable for any incidental, special, punitive, exemplary or consequential damages (including lost profits, loss of data or loss of goodwill), or for the cost of procuring substitute services arising out of or in connection with this agreement or from the use of or inability to use the SiteDistrict client application or the service, whether based on warranty, contract, tort (including negligence), product liability or any other legal theory, and whether or not SiteDistrict has been informed of the possibility of such damage, even if a limited remedy set forth herein is found to have failed in its essential purpose.
