Site Preview Terms of Use

These Terms of Use ("Terms") govern your access and usage of the SiteDistrict Site Preview Tool service (the "Service"), a product of Engineering Simplicity, LLC ("SiteDistrict", "we"). Your use the of the Service is subject to these Terms.

Use of Service

By accessing or using the Service in any manner, you agree to be bound by these Terms.

If you are accessing the Service on behalf of an organization, you represent and warrant that you have the authority to agree to these Terms on its behalf.

You assert that you will use the Service only in compliance with local, state, national, and international laws & regulations. You may only use the service if you can form a binding contract.

You must be at least 13 years of age to use the Service.

SiteDistrict reserves the right to change the eligibility requirements for user of the Service at any time.

Description of Service

The Service lets you enter a URL for a website ("Website"), and have SiteDistrict download and save the content located at the URL, as well as content hosted on the same domain and referenced from with the downloaded HTML. SiteDistrict then makes this content publicly available from its own infrastructure.

Right to Copy & License

By using the Service, you agree that are allowed to copy and distribute the content of the website located at the URL entered into the "Speed Up Your Site" form.

You agree to grant SiteDistrict a non-exclusive, worldwide, irrevocable, perpetual, royalty-free, transferable, license to use, copy, reproduce, modify, display, transmit, store, edit, distribute, and publish the the content of the Website.

SiteDistrict is not obligated in any way nor promises to keep the Website content available. The Website content may be removed from SiteDistrict at any time.

Acceptable Use

The Service may not be used to:

• promote illegal activities
• harm minors in any way
• link to harmful or offensive material
• upload harmful or offensive images or files
• impersonate any person or entity or falsely state or otherwise misrepresent your affiliation with a person or entity
• post content that you have no right to post under law or contract
• upload any content that infringes on trademark, patent, or copyright
• market or promote the Website, your products, or services
• store a backup copy of the Website

You may not publish or distribute the URL of the copy of Website on SiteDistrict for any purposes except to demonstrate to others or promote the performance of the Website on SiteDistrict.

We collect, use, and share personally identifiable information and non-personally identifiable information according to our Privacy Policy. By using this service you agree to the conditions of our Privacy Policy.

Indemnification

You agree to hold harmless, defend, and indemnify SiteDistrict and its owners, agents, officers, employees, and affliates from and against any and all claims and expenses, including attorneys’ fees, arising out of your use of the Service, including but not limited to your violation of this Agreement.

YOU UNDERSTAND THAT THE SERVICE IS PROVIED "AS-IS" AND SITEDISTRICT EXPRESSLY DISCLAIMES ALL WARRANTIES OF ANY KIND, IMPLIED OR STATUTORY, INCLUDING BUT NOT LIMITED TO SITEDISTRICT MAKES NO WARRANTY THAT THE SERVICE WILL MEET YOUR REQUIREMENTS, BE FREE OF MALFUNCTION OR ERRORS, BE AVAILABLE ON AN UNINTERRUPTED BASIS, BE FREE OF MALICIOUS CONTENT. CONTENT DOWNLOADED AT OWN RISK SITEDISTRICT IS NOT NOT RESPONSIBLE FOR LOSS OF DATA, OR DAMAGE TO YOUR COMPUTER SYSTEMS OR DEVICES AS A RESULT OF USE OF THE SERVICE. WE DO NOT ENDORSE, GUARANTEE, WARRANT, OR ASSUME RESPONSIBILITY FOR ANY THRID PARTY PRODUCT OR SERVICE THAT IS ADVERTISED OR OFFERED THOUGH THE USE OF OUR SERVICE.

NEITHER SITEDISTRICT NOR ANY OTHER PARTY WILL BE LIABLE FOR ANY INCIDENTAL, SPECIAL, PUNITIVE, EXEMPLARY OR CONSEQUENTIAL DAMAGES (INCLUDING LOST PROFITS, LOSS OF DATA OR LOSS OF GOODWILL), OR FOR THE COST OF PROCURING SUBSTITUTE SERVICES ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT OR FROM THE USE OF OR INABILITY TO USE THE SITEDISTRICT CLIENT APPLICATION OR THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), PRODUCT LIABILITY OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT SITEDISTRICT HAS BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE, EVEN IF A LIMITED REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.
